Amendments: Name Change, Ownership & Scope Changes#

DAO LLCs may need to amend their formation documents for different reasons. The process depends on the type of change being made. There are two tracks:

  1. Name Change Only — The company is only changing its name, with no change to ownership structure or scope of business.
  2. Ownership, Scope, or Structural Changes — The company is changing its ownership structure, business scope, or other structural elements (with or without a name change).

Both tracks share a common set of document requirements. Ownership and scope changes require additional compliance steps.


Name Change Only#

For DAO LLCs that are only changing the company name, with no change to ownership or business scope.

Required Documents#

  1. Amendment to Certificate of Formation
  2. Amendment to Operating Agreement
  3. New Operating Agreement reflecting the amendment
  4. New Certificate of Formation reflecting the amendment
  5. New FIBL Application reflecting the name change

MIDAO Sends Documents to GovernmentMIDAO's Operations team will send all documents to the government for review
Confirm Successful ChangeThe government will let MIDAO know the results; MIDAO will pass on to the client
MIDAO Updates InformationMIDAO will add name change docs to the customer's files for archival purposes, update the public-facing registry, any records on file, and information stored in the DAO LLC's annual filing portal

Ownership, Scope, or Structural Changes#

For DAO LLCs making changes to ownership structure, business scope, or other structural elements. A name change can optionally be included as part of this process.

Required Documents#

All of the documents listed in the Name Change Only section above, plus:

  1. New BOIR (Beneficial Ownership Information Report) Form
  2. KYC verification via Sumsub

Additional Steps#

In addition to all the steps from the Name Change Only process above, the following are required:

These additional steps must be completed before MIDAO sends the full document package to the government for review.
